Terms of Service

By engaging Red Dot Consultancy for any service, submitting a project brief, or signing a proposal, the client (“Client,” “you”) agrees to these Terms of Service. If you do not agree, do not engage our services.

Services provided

Red Dot Consultancy provides marketing and business consulting services, including but not limited to:

• Social media marketing, strategy, and content planning
• Paid advertising and multi-platform management
• Content production: video, motion graphics, photography, copywriting
• Branding and design: identity, marketing collateral, 3D visualization
• Website development: landing pages, sales funnels, business websites, e-commerce
• AI solutions: content automation, chatbots, workflow automation

The exact scope of any engagement is defined in a signed proposal specific to the Client. These Terms apply in addition to, and do not override, the terms of that proposal.

Engagement & proposals

• All engagements begin with a custom proposal outlining scope, deliverables, timeline, and pricing.
• Red Dot does not publish standard pricing. Pricing is quoted per engagement based on scope.
• Work begins only after a proposal is signed and the initial payment is received.

Payment terms

• Retainer engagements: 50% due on signing, remaining 50% due by Day 15 of the engagement.
• Website projects: 50% due on signing, remaining 50% due on domain transfer / final handover.
• Invoices are due on receipt unless otherwise stated in the proposal.
• Late payments beyond 7 days of the due date may result in a pause of active work until payment is received.
• All fees are exclusive of applicable taxes unless stated otherwise.

Client responsibilities

The Client agrees to:

• Provide timely access to accounts, assets, brand materials, and approvals required to deliver the work.
• Designate a single point of contact for communication and sign-off.
• Review and respond to deliverables within the timelines agreed in the proposal.

Delays caused by the Client in providing access, feedback, or approvals may extend project timelines accordingly and do not constitute a failure of delivery on our part.

Intellectual property

• Upon full payment, final deliverables (creative assets, website code, content) become the property of the Client for the purposes defined in the proposal.
• Red Dot retains the right to display completed work in its portfolio unless the Client requests confidentiality in writing.
• Any third-party tools, licenses, stock assets, or platforms used in delivery remain subject to their own licensing terms.
• Pre-existing frameworks, processes, templates, and internal tools used by Red Dot to deliver work remain the property of Red Dot.

Confidentiality

Both parties agree to keep confidential any non-public business, financial, or strategic information shared during the engagement, and not to disclose it to third parties without written consent, except where required by law.

Subcontracting

Red Dot may engage vetted external partners or studios to support delivery. The Client relationship, quality control, and accountability remain solely with Red Dot regardless of who performs the underlying production work.

Limitation of liability

Red Dot’s total liability for any claim arising from an engagement is limited to the amount paid by the Client for that specific engagement in the preceding three months. Red Dot is not liable for indirect, incidental, or consequential damages, including loss of revenue, profits, or business opportunities.

Termination

• Either party may terminate an active engagement in accordance with the Cancellation Policy.
• Red Dot reserves the right to terminate an engagement immediately if the Client fails to make payment, provides unlawful instructions, or engages in abusive conduct toward the team.

Governing law

These Terms are governed by the laws of India. Any disputes are subject to the exclusive jurisdiction of the courts of Kerala, India.

Amendments

Red Dot may update these Terms from time to time. Continued engagement after changes are posted constitutes acceptance of the updated Terms. Material changes affecting active contracts will be communicated directly to the Client.
